CAN Voting and Organization Structure - James discussed the structure as defined by the CAN Bylaws and then provided suggestions concerning educating members, getting a more active board, and voting (and communicating the results) in a manner to increase influence by accurately reflecting the intent and backing of its numerous members. Finally he provided an overview of voting options based on time and purpose.
1) The following is a summary of the leadership structure:
BOARD OF DIRECTORS – comprised of one voting representative from each Organization Member. Organization Members are neighborhood organizations or groups that represent the interests of the residents of any city or area in Buncombe County. A quorum of the Board is one third of the Directors in office and the Board is empowered to act for CAN by a majority vote of the Directors present at a regular meeting. The Bylaws allow for written votes outside of Board meetings.

2) The following were suggested by the Secretary. Detailed actions will be reviewed next meeting.
- The composition of the board and responsibilities of the needs to be made clearer through outreach.
- Vote results should include details on vote type and its requirements (e.g. quorum).
- The results need to clearly state whom CAN is speaking for. For example, is CAN speaking for a few members of the Executive Committee or is the vote backed by 18 appointed neighborhood representatives?
- Consider written votes (e.g. email or web based) as provided by the Bylaws.
3) The following is a summary of suggested voting options based on time and purpose.
Executive Committee: Decisions / Statements requiring fast action which are not specifically designated to Board of Directors. Per Bylaws: No.
Board of Directors: Duties designated to Board of Directors. Decisions or statements where additional buy-in is desired and allowed by time. Per Bylaws: Yes; Quorum: 1/3; Majority: Simple (1/2).
Board of Directors: Amendment of Bylaws. Per Bylaws: Yes; Quorum: 1/3; Majority: 2/3.
Committee: (Committees are advisory to Board.) Actions delegated to committees. Per Bylaws: Yes; Quorum: Simple (1/2).
Full Membership: Polls etc. where a broader representation is desired and allowed by time. Per Bylaws: No.
